FiChecks Terms of Service

Welcome to FiChecks. These Terms of Service (“Terms”) govern your access to and use of the FiChecks website, applications, products, and services (collectively, the “Services”). By creating an account, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Services.

1. Definitions

For purposes of these Terms:

  • “FiChecks,” “we,” “our,” or “us” refers to FiChecks and its affiliates.
  • “User,” “you,” or “your” refers to any individual or business using the Services.
  • “Account” means your registered FiChecks account.
  • “Services” means all software, websites, payment tools, verification services, APIs, mobile applications, and related offerings provided by FiChecks.
  • “Payment” includes checks, mailed checks, emailed checks, ACH transfers, bank transfers, and any supported payment method offered through the Services.

2. Eligibility

To use the Services, you represent and warrant that:

  • You are at least 18 years of age.
  • You have the legal authority to enter into these Terms.
  • If using the Services on behalf of a business, you have authority to bind that organization.
  • All information you provide is accurate, current, and complete.
  • Your use of the Services complies with all applicable federal, state, local, and international laws and regulations.

FiChecks may refuse service where prohibited by law or where regulatory obligations require us to do so.

3. Account Registration

You are responsible for maintaining the confidentiality of your login credentials and for all activity occurring under your Account.

You agree to:

  • Maintain accurate account information.
  • Promptly update changes to your information.
  • Notify us immediately of any unauthorized access or suspected security breach.

FiChecks is not responsible for losses resulting from unauthorized use of your Account caused by your failure to safeguard your credentials.

4. Identity and Business Verification

To comply with applicable laws and to protect the integrity of our platform, FiChecks may require identity verification, business verification, bank account verification, or additional documentation before providing access to certain Services.

Verification requirements may change at any time based on regulatory obligations, fraud prevention measures, or internal risk assessments.

Failure to complete requested verification may result in delayed access, temporary suspension, or termination of Services.

5. Description of Services

FiChecks provides software that enables businesses to:

  • Create and print business checks.
  • Mail physical checks.
  • Send digital checks where supported.
  • Initiate ACH and bank transfers.
  • Manage payment workflows.
  • Verify business information.
  • Access additional payment-related features offered through the platform.

Certain Services may be provided through regulated financial institutions, payment processors, mailing providers, or other third-party partners.

6. Acceptable Use

You agree not to use the Services to:

  • Commit fraud or facilitate fraudulent activity.
  • Print or issue unauthorized or forged checks.
  • Engage in money laundering or terrorist financing.
  • Violate applicable sanctions or export laws.
  • Misrepresent your identity or business.
  • Upload malicious software or harmful code.
  • Attempt unauthorized access to FiChecks systems.
  • Reverse engineer or interfere with the Services.
  • Use automated tools to scrape or harvest platform data.
  • Infringe upon intellectual property rights.
  • Violate any applicable law or regulation.

FiChecks may investigate suspected violations and cooperate with law enforcement when appropriate.

7. Payment Responsibilities

You are solely responsible for:

  • Entering accurate payment information.
  • Verifying payee names.
  • Confirming routing and account numbers.
  • Reviewing payment amounts.
  • Ensuring compliance with applicable financial regulations.

FiChecks does not verify the accuracy of payment instructions submitted by users.

8. Payment Processing

FiChecks facilitates payment workflows but is not a bank or depository institution.

Processing times may vary depending on:

  • Banking partners
  • Payment networks
  • Mailing providers
  • Federal holidays
  • Regulatory reviews

Once a payment has been submitted for processing, mailing, or transmission, it may not be canceled or reversed except where required by law or expressly permitted by FiChecks.

9. Fees and Billing

Certain Services require payment of subscription fees, transaction fees, or other applicable charges.

By purchasing a paid plan, you authorize FiChecks to charge your selected payment method for all applicable fees.

Unless otherwise stated:

  • Subscription fees renew automatically.
  • Prices may change upon reasonable notice.
  • Taxes are your responsibility unless otherwise required by law.

Failure to pay outstanding fees may result in suspension or termination of Services.

10. Third-Party Services

Certain features rely on third-party providers, including payment processors, banks, mailing providers, cloud hosting providers, and identity verification vendors.

FiChecks is not responsible for delays, outages, interruptions, or failures caused by third-party providers beyond our reasonable control.

11. Intellectual Property

All software, designs, trademarks, logos, graphics, text, content, and technology comprising the Services are owned by FiChecks or its licensors and are protected by applicable intellectual property laws.

Except as expressly permitted, you may not:

  • Copy
  • Modify
  • Distribute
  • Reverse engineer
  • Create derivative works
  • Commercially exploit any portion of the Services

Your use of the Services grants only a limited, non-exclusive, non-transferable license to access and use the platform in accordance with these Terms.

12. Privacy

Your use of the Services is also governed by our Privacy Policy, which explains how personal information is collected, used, stored, and protected.

13. Suspension and Termination

FiChecks may suspend or terminate your Account immediately if we reasonably believe that:

  • These Terms have been violated.
  • Fraudulent activity has occurred.
  • Required verification has not been completed.
  • Regulatory obligations require suspension.
  • Continued access presents an unacceptable risk to FiChecks or other users.

Termination does not relieve you of outstanding payment obligations.

14. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Services are provided on an “AS IS” and “AS AVAILABLE” basis.

FiChecks disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee uninterrupted, error-free, or completely secure operation of the Services.

15. Limitation of Liability

To the fullest extent permitted by law, FiChecks shall not be liable for any indirect, incidental, consequential, punitive, special, or exemplary damages, including loss of profits, business interruption, loss of goodwill, or data loss arising from your use of the Services.

FiChecks’ aggregate liability for all claims arising under these Terms shall not exceed the total amount paid by you to FiChecks during the twelve (12) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not permit certain limitations of liability; therefore, portions of this section may not apply to you.

16. Indemnification

You agree to defend, indemnify, and hold harmless FiChecks, its affiliates, officers, directors, employees, and partners from any claims, damages, liabilities, costs, or expenses arising out of:

  • Your use of the Services.
  • Your violation of these Terms.
  • Your violation of applicable law.
  • Your infringement of another party’s rights.

17. Force Majeure

FiChecks shall not be liable for delays or failures resulting from events beyond our reasonable control, including natural disasters, cyberattacks, governmental actions, labor disputes, power outages, internet disruptions, banking network failures, or acts of war.

18. Changes to These Terms

We may modify these Terms from time to time to reflect changes in our Services, legal requirements, or business practices.
Updated Terms become effective upon publication unless otherwise stated. Continued use of the Services after the effective date constitutes acceptance of the revised Terms.

19. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which FiChecks is organized, without regard to its conflict of law principles.

Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located within that jurisdiction, unless applicable law requires otherwise.

20. Electronic Communications

By using the Services, you consent to receive notices, disclosures, invoices, security alerts, and other communications electronically. Electronic communications satisfy any legal requirement that such communications be provided in writing.

21. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy and any additional agreements expressly incorporated by reference, constitute the entire agreement between you and FiChecks regarding the Services and supersede all prior understandings relating to the Services.
